Terms of Service

HyperThreads LLC (“HyperThreads,” “we,” “us,” or “our”) provides an AI-powered fashion and garment design platform (the “Service”). These Terms of Service (“Terms”) are a binding agreement between HyperThreads LLC and you (“you” or “User”), whether you use the Service as an individual or on behalf of an organization.

By creating an account, signing in, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service description

The Service includes tools for creating and managing garment designs, projects, and artwork; generating images and designs using AI (e.g., via Replicate and Google Vertex AI); team and organization features; storage; and token-based usage for AI generation. We may change, suspend, or discontinue features with reasonable notice where practicable.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. If you are under 18, a parent or guardian must agree to these Terms on your behalf and assume responsibility for your use. You represent that your use of the Service complies with all applicable laws and that you have the authority to bind any organization you represent.

3. Account and security

You are responsible for keeping your account credentials secure and for all activity under your account. You must notify us promptly of any unauthorized access. We are not responsible for loss or misuse of your account due to your failure to protect your credentials.

4. Ownership of content

HyperThreads does not own any User Content or AI-Generated Content.

• User Content means content you upload or create through the Service (e.g., garments, projects, artworks, technical flats, prompts, and other materials).

• AI-Generated Content means content generated for you through the Service using third-party AI (e.g., Replicate, Google Vertex AI).

You retain ownership of your User Content and of AI-Generated Content created for you through the Service. That generated content is made available to you under the terms of our AI providers (such as Replicate and Google Vertex AI), who grant rights in their output to their customer (HyperThreads); we pass those rights through to you. Your use may be subject to those providers’ terms and to any applicable model licenses (e.g., FLUX).

License you grant us. You grant HyperThreads a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your User Content and to send it to our AI and infrastructure providers (e.g., Replicate, Google Vertex AI, Supabase) solely to provide, operate, and improve the Service. We do not claim any ownership in your User Content or AI-Generated Content.

5. User content and conduct

You are solely responsible for your User Content, prompts, and how you use the Service. You represent and warrant that:

• You have all rights necessary to upload, use, and grant the license above for your User Content.

• Your User Content and use of the Service do not violate any law or any third party’s rights (including intellectual property, privacy, or publicity).

You must not use the Service to:

• Infringe any intellectual property or other rights of others.

• Upload or generate illegal, harmful, abusive, defamatory, or harassing content.

• Create or distribute content that exploits or harms minors, or non-consensual intimate imagery.

• Violate any applicable acceptable-use or prohibited-use policies of our AI providers (e.g., Replicate, Google Vertex AI).

We are not responsible for content you or others upload or for AI outputs. We do not monitor or endorse User Content or AI-Generated Content. You use the Service and any outputs at your own risk.

6. AI disclaimers

AI-generated outputs may be inaccurate, inappropriate, or similar to content generated for others. We do not guarantee the accuracy, completeness, legality, or non-infringement of any AI-Generated Content. You are responsible for reviewing and using outputs appropriately; we recommend human review where it matters (e.g., commercial use, compliance). Use of AI-Generated Content is at your sole risk.

7. Third-party AI and services

Use of the Service involves third-party AI and infrastructure (e.g., Replicate, including FLUX and other models; Google Vertex AI). Your use of generated content may be subject to those providers’ terms, including:

• Replicate Terms of Service and Replicate Privacy Policy

• Google Cloud Service Specific Terms (including Section 19 – Generative AI Services)

• Vertex AI and zero data retention

You agree to comply with those terms where they apply to your use of the Service and of AI-Generated Content.

8. Fees and payment

Where the Service or features are paid, you agree to pay applicable fees (e.g., subscriptions, token purchases) as presented at the time of purchase. Payment may be processed by third parties (e.g., Stripe); their terms and privacy policies apply to payment data. Refunds are as stated at purchase or as required by law. We may change fees with reasonable notice; continued use after the change constitutes acceptance.

9. Indemnification

To the fullest extent permitted by law, you will indemnify, defend, and hold harmless HyperThreads LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your use of the Service or AI-Generated Content; (c) your violation of these Terms or any applicable third-party terms; or (d) your violation of any law or third-party rights.

10. Disclaimers

THE SERVICE AND ALL CONTENT AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI OUTPUTS ARE NOT GUARANTEED TO BE ACCURATE, APPROPRIATE, OR FREE OF THIRD-PARTY RIGHTS. TO THE EXTENT PERMITTED BY LAW, THE ABOVE DISCLAIMERS APPLY IN FULL.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• HYPERTHREADS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

• OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Term and termination

These Terms apply for as long as you use the Service. We may suspend or terminate your access immediately for breach of these Terms, abuse, or as required by law. You may stop using the Service at any time. On termination, your right to access the Service ends. We may delete or retain your data as described in our Privacy Policy. Sections that by their nature should survive (e.g., ownership, indemnification, disclaimers, limitation of liability) will survive termination.

13. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms and, for material changes, provide notice (e.g., in-app or by email) where practicable. Your continued use of the Service after the effective date of the changes constitutes acceptance. If you do not agree, you must stop using the Service.

14. General

• Governing law: These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

• Disputes: Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue there.

• Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and HyperThreads regarding the Service.

• Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

• No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
